Terms of Service

These Terms of Service ("Terms") govern your use of the music distribution services provided by Digitalent Inc., doing business as Digitalent Music ("Company", "we", "us", or "our"). By using our services, you agree to be bound by these Terms.
1. Services Overview
Digitalent Music provides digital music distribution services, including but not limited to:
- Distribution of musical recordings to digital streaming platforms (DSPs) and online stores worldwide.
- YouTube Content ID registration and royalty collection.
- ISRC and UPC code generation and management.
- Spotify for Artists, Apple Music for Artists, Amazon Music for Artists, and Deezer for Creators account setup and management.
- Editorial playlist pitching and promotional support.
- Spotify Advertising campaign management.
- Social media music licensing and distribution (TikTok, Instagram, Facebook, Snapchat, YouTube Shorts).
- Royalty collection, reporting, and payment processing.
2. Eligibility
You must be at least 18 years of age or have the legal authority to enter into a binding agreement to use our services. By submitting content for distribution, you represent and warrant that you have full legal rights to distribute the submitted material.
3. Content Ownership & Rights
- You retain 100% ownership of your copyrights and master recordings at all times.
- By entering a distribution agreement with us, you grant Digitalent Music a non-exclusive license to distribute, deliver, and make available your content on digital platforms worldwide.
- You warrant that your content does not infringe upon any third-party intellectual property rights, trademarks, or copyrights.
- You are solely responsible for obtaining all necessary licenses, clearances, and permissions for any samples, covers, or third-party content included in your releases.
4. Distribution Agreement & Content Availability
Your music remains live and available on all distributed platforms for as long as your distribution agreement with Digitalent Music is active. Upon termination of the agreement, we will initiate the takedown process from all platforms, which may take up to 30 business days to complete depending on platform processing times.
5. Service Models & Pricing
Digitalent Music offers flexible service models:
- Revenue-Share Partnership: A percentage-based royalty split between the artist/producer and Digitalent Music. The specific split is determined based on the individual business plan and collaboration scope.
- Fee-Based Distribution: A one-time or recurring service fee for distribution, where the artist retains full ownership of their royalties after the service fee is paid.
Specific terms, pricing, and royalty split percentages are outlined in the individual distribution agreement signed between you and Digitalent Music.
6. Royalty Payments
- Royalties are calculated based on streaming and download data reported by digital platforms.
- Payments are processed on a monthly basis.
- Detailed royalty reports are accessible through your personal dashboard.
- Minimum payout thresholds may apply as specified in your distribution agreement.
- You are responsible for providing accurate payment information and for any applicable taxes on your earnings.
7. Content Standards
All submitted content must comply with the following standards:
- Audio files must meet platform-specific quality requirements (minimum 16-bit, 44.1 kHz WAV or FLAC).
- Cover artwork must be at least 3000x3000 pixels in RGB color mode (JPEG or PNG).
- Metadata must be accurate, complete, and properly formatted.
- Content must not contain hate speech, illegal material, or content that violates applicable laws.
- Content must not be artificially streamed, botted, or manipulated in any way.
We reserve the right to reject or remove content that does not meet these standards or violates platform guidelines.
8. Catalog Transfers
If you are transferring your catalog from another distributor, we facilitate seamless transfers that preserve your existing ISRC codes, streaming history, playlist placements, and algorithmic data. You are responsible for initiating the takedown with your previous distributor and providing all necessary transfer documentation.
9. YouTube Content ID
When you opt in to YouTube Content ID through Digitalent Music:
- Your content is registered in the YouTube Content ID system for global monitoring and revenue collection.
- We will claim and monetize user-generated content (UGC) that uses your music on YouTube.
- You warrant that you have full rights to the content being registered and that it is not registered with any other Content ID provider.
- False or duplicate Content ID claims may result in service suspension.
10. Prohibited Activities
You agree not to:
- Use artificial streaming services, bots, or any form of stream manipulation.
- Submit content for which you do not hold the necessary rights.
- Register the same content with multiple distributors simultaneously.
- Provide false, misleading, or inaccurate information.
- Attempt to bypass, hack, or interfere with our systems or services.
- Use our services for money laundering or any illegal activity.
Violation of these terms may result in immediate termination of your account, takedown of all content, and forfeiture of pending royalties.
11. Termination
- Either party may terminate the distribution agreement with 30 days written notice via email.
- Upon termination, we will remove your content from all platforms within a reasonable timeframe.
- Any accrued and unpaid royalties at the time of termination will be paid out in the next regular payment cycle, subject to minimum payout thresholds.
- We reserve the right to terminate your account immediately if you violate these Terms or engage in prohibited activities.
12. Limitation of Liability
Digitalent Music shall not be liable for:
- Platform outages, delays, or errors beyond our reasonable control.
- Inaccurate or delayed royalty reporting by third-party platforms.
- Data breaches caused by third-party services, cyberattacks, or force majeure events.
- Loss of revenue due to content takedowns resulting from copyright disputes or platform policy violations.
- Changes in platform algorithms, policies, or payment structures.
Our total liability shall not exceed the total royalties paid to you in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Digitalent Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these Terms, infringement of third-party rights, or misrepresentation of ownership or rights to submitted content.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Pinellas County, Florida.
15. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on our website. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
